NON-COMPETE
AGREEMENT 
Please read all details below 

This Non-Compete Agreement ("Agreement") is made and entered into effective as of [Date], by and between Vegas Valley Balloons, hereinafter referred to as "Company," and all employees, volunteers, or mentees, hereinafter referred to as "Planners."

WHEREAS, the Company engages in event planning and decoration services, including but not limited to balloon decorations, under the brand name Vegas Valley Balloons;

WHEREAS, Planner is engaged to provide decoration services for events organized by the Company;

WHEREAS, the Company seeks to protect its intellectual property, brand identity, and client relationships;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Confidentiality: Planner acknowledges that in the course of performing services for the Company, they may have access to confidential and proprietary information, including but not limited to client lists, business strategies, pricing information, and trade secrets. The planner agrees to maintain the confidentiality of such information and not disclose it to any third party without the Company's prior written consent.

2. Ownership of Work Product: All decorations, designs, concepts, and other work products created or developed by the Planner in connection with their services for the Company shall be the exclusive property of the Company. Planner hereby assigns to the Company all rights, titles, and interests in and to such work product, including all intellectual property rights therein.

3. Attribution: Considering the compensation provided under this Agreement, the Planner agrees to prominently display the Vegas Valley Balloons brand name and logo in all posts, publications, and communications related to the services performed for the Company. Planner shall never represent or imply that the work performed for the Company is their own or that they are acting independently of the Company.

4. Enforcement: The Planner acknowledges that a breach of any provision of this Agreement may cause irreparable harm to the Company, for which monetary damages may be inadequate. Accordingly, in addition to any other remedies available at law or in equity, the Company shall be entitled to seek injunctive relief to enforce the provisions of this Agreement without the necessity of posting a bond or other security.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Nevada Clark County, without regard to its conflict of law principles.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first written above.
